1. About us
eminencecycleco.com (the "Site") is operated by JM Cycles Ltd, trading as Eminence Cycle Co ("we", "us", "our"). We are a company registered in England and Wales under company number 16207174. Our address is Ground Floor Office 2, Carnegie Court, The Broadway, Farnham Common, Slough, SL2 3GQ, United Kingdom, and our email is jmcyclesltd@gmail.com.
These Terms apply to your use of the Site and to every order you place with us. Please read them, together with our Shipping & Returns Policy and Privacy Policy, which form part of these Terms. By placing an order you agree to these Terms. If you are a consumer, nothing in these Terms affects your statutory rights.
2. Consumers and business customers
Some of these Terms apply differently depending on whether you are a consumer or a business customer. You are a consumer if you are an individual buying mainly for personal use outside your trade, business or profession. You are a business customer if you buy for business, trade or resale purposes, including team, club or trade orders placed on business terms.
3. Placing an order
Your order is an offer to buy. We accept it only when we email you to confirm that it has been dispatched. Until then, there is no contract between us. The automatic email you receive when you order only confirms that we have received your order.
We may decline or cancel any order before acceptance. Reasons include stock not being available, a pricing or description error, failed payment or fraud checks, an order that appears to be for resale, or an order to a destination we do not serve. If we cancel, we will refund any payment in full.
We may limit quantities per customer, per household or per order.
4. Prices and payment
Prices are shown in pounds sterling and include UK VAT where applicable. Delivery charges are shown at checkout. For orders delivered outside the UK, you are the importer and must pay any import duties, taxes and customs charges.
We take care to show correct prices, but errors can happen. If the correct price is higher than the price on your order, we will contact you before accepting it and give you the choice to continue at the correct price or cancel. If a pricing error is obvious and you could reasonably have recognised it, we do not have to supply the goods at the wrong price, even after dispatch.
Payment is taken at the time of order. RRP or "compare at" prices show the manufacturer's recommended retail price for reference.
5. Special Orders, custom builds and pre-orders
Products marked "Special Order" are not held in stock. We order them from our supplier for you only after you order and tick to accept our Special Order terms at checkout. By accepting those terms, you confirm that you understand the following:
- the item is ordered for you alone, and we cannot cancel the order with our supplier once we have placed it;
- we do not accept returns of Special Order items for change of mind. Personalised or made-to-specification items cannot be returned at all, and business customers cannot return any Special Order item;
- for consumers, the only exception is the statutory right to cancel a standard, unmodified item. This right is subject to the strict conditions in section 6 of Part B of our Shipping & Returns Policy: the item must be unopened and unused, you pay return shipping and insurance, and your refund is reduced for any loss in value;
- lead times are estimates, and your statutory rights for faulty or incorrectly described goods are not affected.
We will give you an estimated lead time, which depends on our suppliers and is not guaranteed.
For custom-built bicycles, wheel builds and goods made to your specification, we will confirm the specification with you in writing before we start. Once you approve it, the order cannot be cancelled; see our Shipping & Returns Policy. If we cannot fulfil a special order, we will refund you in full.
6. Delivery, risk and ownership
Dispatch and delivery times are estimates. See Part A of our Shipping & Returns Policy for details. For consumers, the goods are our responsibility until they are delivered to you or to someone you nominate. For business customers, responsibility passes to you when we hand the goods to the carrier. Ownership of the goods passes to you only once we have received full payment.
Please check deliveries promptly and tell us within 48 hours about any transit damage, missing items or incorrect items, with photographs. This helps us resolve the problem and claim from the carrier. It does not limit a consumer's legal rights.
7. Product information, fitting and compatibility
We aim to describe products accurately. Colours may look different on screen, and specifications, weights and packaging may change when manufacturers update their products.
It is your responsibility to make sure a product is compatible with your bicycle, frame and components before you buy. Please ask us if you are unsure. Many components, including groupsets, hydraulic brakes, bottom brackets, headsets, wheels and electronic shifting, should be fitted by a qualified mechanic following the manufacturer's instructions and torque settings. We are not responsible for loss or damage caused by incorrect fitting, incompatible parts, misuse, modification, poor maintenance or crashes.
8. Guarantees and warranties
If you are a consumer, we must supply goods that are of satisfactory quality, fit for purpose and as described. Manufacturer warranties are provided by the manufacturer, in addition to your legal rights. Warranty claims are assessed by the manufacturer or its distributor under its own terms, and we will help you with the process.
For business customers, we give no warranties or conditions other than those that cannot be excluded by law. Our liability for defective goods is limited to repairing or replacing them, or refunding the price, at our option.
9. Returns and cancellations
Cancellations, returns and refunds are covered by Part B of our Shipping & Returns Policy, which forms part of these Terms.
10. Our liability
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Consumers: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable. We supply goods for domestic and private use only. We are not liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity.
Business customers: we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data. Our total liability for any order is limited to the price you paid for that order.
11. Events outside our control
We are not responsible for delays or failures caused by events outside our reasonable control, including supplier or manufacturer delays, carrier or customs disruption, strikes, extreme weather, pandemics, cyber incidents or government action. If this happens, we will tell you, and you may cancel an order that has not yet been dispatched for a full refund.
12. Use of the Site
You must not misuse the Site. This includes introducing malicious code, scraping or crawling the Site without our permission, trying to gain unauthorised access, or using the Site for any unlawful or fraudulent purpose. We may suspend or close accounts, or refuse service, where we reasonably suspect fraud, abuse or breach of these Terms.
All content on the Site, including text, photographs, logos and design, belongs to us or our licensors and may not be copied without our permission. Brand names such as Shimano, Tripeak and others belong to their respective owners.
Reviews, comments and other content you submit must be honest and lawful. By submitting it, you give us a free, non-exclusive licence to use, edit and publish it. We may remove any content at our discretion.
13. Third-party links and tools
The Site may contain links to third-party websites and tools, such as payment providers and couriers. We are not responsible for their content, terms or practices.
14. Personal information
We use your personal information as set out in our Privacy Policy.
15. Changes to these Terms
We may update these Terms from time to time. The version in force when you place your order will apply to that order.
16. General
If a court decides that any part of these Terms is invalid, the rest will still apply. If we delay enforcing any of these Terms, we can still enforce them later. These Terms are between you and us, and no other person has any right to enforce them. We may transfer our rights under these Terms to another organisation. You may transfer yours only with our written consent.
17. Governing law and disputes
These Terms are governed by the law of England and Wales. Consumers: you can bring proceedings in the courts of England and Wales. If you live in Scotland or Northern Ireland, you can also bring proceedings in your home courts, and you keep any mandatory protections of the law of the country where you live. Business customers: the courts of England and Wales have exclusive jurisdiction.
If you have a complaint, please contact us first at jmcyclesltd@gmail.com, and we will try to resolve it quickly.
